These Terms of Service ("Terms") govern your access to and use of the Formed Supply website, customer portal, and related services (collectively, the "Services"), which are provided by Formed Supply, LLC. ("Formed Supply," "we," "us," or "our").

By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and Account Responsibility

• You must be at least 18 years old to use the Services.
• If you create or use an account on behalf of a business, you confirm you have authority to bind that business.
• You are responsible for maintaining accurate account information and keeping your credentials secure.

2. Quotes, Orders, and Product Information

• Quotes are non-binding until accepted by Formed Supply in writing or through an issued order confirmation.
• Product specifications, images, colors, dimensions, and lead times may vary within reasonable manufacturing and printing tolerances.
• We may decline or cancel any quote or order for pricing errors, fraud concerns, availability constraints, or legal compliance reasons.

3. Pricing, Payment, and Taxes

• All pricing is listed in U.S. dollars unless stated otherwise.
• Payment terms are defined on your quote, invoice, or order confirmation and must be satisfied when due.
• You are responsible for all applicable taxes, duties, and governmental charges, except taxes based on our net income.
• Unpaid balances may accrue interest at the lesser of 1.5% per month or the maximum legal rate, plus reasonable collection costs.

4. Customer Files, Artwork, and Approvals

• You represent that you have all required rights to upload and use logos, designs, trademarks, and other submitted content.
• You grant Formed Supply a non-exclusive license to use submitted materials solely to perform requested Services.
• You are responsible for final proof approval and any errors present in approved files.

5. Shipping, Risk of Loss, and Claims

• Shipping dates are estimates unless expressly guaranteed in writing.
• Risk of loss transfers at shipment unless otherwise agreed in writing.
• Claims for shortages, defects, or damage must be reported within 7 calendar days after delivery with supporting documentation.

6. Acceptable Use

• You may not use the Services for unlawful, fraudulent, infringing, or abusive activity.
• You may not attempt unauthorized access, interfere with platform integrity, or distribute malicious code.
• Automated scraping, data extraction, or reverse engineering is prohibited without prior written permission.

7. Intellectual Property

Except for content you provide, all website content, text, visual assets, software, and branding are owned by Formed Supply, LLC. or its licensors and are protected by applicable intellectual property laws.

8. Disclaimer and Limitation of Liability

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Formed Supply disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Formed Supply, LLC. will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our aggregate liability for claims related to the Services will not exceed amounts paid by you for the specific order or service at issue during the prior 12 months.

9. Indemnification

You agree to defend, indemnify, and hold harmless Formed Supply, LLC. and its affiliates, officers, employees, and agents from claims, liabilities, damages, and expenses arising from your use of the Services, your breach of these Terms, or your submitted materials.

10. Governing Law

These Terms are governed by the laws of the jurisdiction where Formed Supply, LLC. is established, without regard to conflict-of-law principles, unless otherwise required by applicable law.

11. Updates to These Terms

We may revise these Terms from time to time. Updated Terms will be posted on this page with a revised "Last Updated" date. Continued use of the Services after updates take effect constitutes acceptance of the revised Terms.
